Subject:           Overnight Daycare for First Responders Business Launch

Dear Thomas,

I have been buzzing with excitement about our prospective business opportunity. As we approach the launch date, I believe it is essential to outline the business agreement to ensure we are on the same page from the outset. The outline below represents a draft of the business agreement, subject to your concurrence: Business e-mail.

Nature of Partnership

Given the rising demand for daycare services, our partnership will offer overnight daycare services to first responders. The business will be a general partnership; hence, it does not need to be registered officially to operate. Business income will be directed to a joint business account prior to profit sharing. As business partners, we will jointly and personally incur business liabilities such as debt.

Profit Sharing

Profit sharing will be based on capital contribution. For instance, if you contribute $60,000 and I contribute $40,000, profits will be shared on a 60% to 40% basis. Losses will be shared in the same proportion as profits, a pointer to the unlimited nature of a general partnership (Schell et al., 2025). Since the company’s revenue will first land in the joint business account, profits will be shared and distributed to our accounts after expenses have been deducted.

Partner Responsibility

The partnership will be based on shared responsibility. Since this is not a professional partnership, management roles will be shared. I propose that we allocate managerial responsibilities equally.

You will manage the business from Monday to Wednesday, as I take over from Thursday to Saturday. All operational decisions will be made by the manager on duty.

Conflict Resolution

Conflicts are inevitable in any organization. I propose that we adopt the negotiation strategy, focusing on a win-win strategy to resolve any conflicts that may arise. According to Wertheim (2020), a win-win negotiation not only resolves an ongoing conflict but also preserves interpersonal relationships.
